These Terms & Conditions (the “Terms”) govern your use of the Aloha Tequila & Arts Festival website, our event ticketing and related services, SMS and email communications, and any affiliate/ambassador program we may offer (collectively, the “Services”). By accessing or using any of the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. DEFINITIONS 

• “Company,” “we,” “us,” “our”: Aloha Cancer Project, organizer of Aloha Tequila & Arts Festival. 

• “Festival”: Aloha Tequila & Arts Festival and any related events, experiences, or activities we organize. 

• “Site”: https://alohatequilafest.com and any related sites, pages, or applications we operate. 

• “User,” “you,” “your”: Any person who visits the Site, buys tickets, attends the Festival or related events, or uses our Services. 

• “Affiliate” / “Ambassador”: Any approved participant in our affiliate/ambassador program who promotes our Festival or related products for commissions or other rewards. 

• “Event”: Any in-person or virtual event, experience, or activity for which tickets are sold or promoted through our Site or platform, including but not limited to the Aloha Tequila & Arts Festival.

2. ELIGIBILITY 

2.1 General Use 

• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services without parental consent. 

• By using the Services, you represent that you have the legal capacity to enter into these Terms and that your use of the Services is lawful where you reside.

2.2 Affiliate / Ambassador Program 

• You must be at least 18 years old and reside in a jurisdiction where participation in the Program is legal. 

• Accounts registered by bots or automated methods are not permitted. 

• We may request information to verify your identity and eligibility. 

• We may approve or reject any application at our sole discretion.

3. ACCOUNT REGISTRATION & SECURITY 

3.1 Account Creation 

To purchase tickets or participate in the Program, you may need to create an account. 

You agree to: 

• Provide true, accurate, current, and complete information; and 

• Keep your information updated.

3.2 Login & Security 

• Your login may only be used by one person. 

• You are responsible for maintaining the confidentiality of your username and password and for all activity under your account. 

• You must notify us promptly of any unauthorized use or security breach. Aloha Cancer Project is not liable for loss or damage arising from your failure to comply with these obligations.

3.3 Account Limits 

• One person or legal entity may not maintain more than one affiliate/ambassador account without our prior written consent.

4 TICKETING TERMS 

4.1 Ticket Purchases 

• All ticket sales are subject to availability and to any additional terms or restrictions posted at checkout or on the Festival or Event page. 

• You agree to purchase tickets only for lawful purposes.

4.2 Pricing, Fees & Errors 

• Ticket prices, fees, and applicable taxes are shown at checkout and may change at any time prior to purchase. 

• We may correct errors or inaccuracies (including in pricing, Festival or Event details, or availability). 

• If an error affects your order, we may cancel or adjust the order and will notify you where reasonably possible.

4.3 Order Confirmation 

• After placing an order, you will receive an order confirmation via email and/or SMS. This is your receipt and proof of purchase. 

• If you do not receive a confirmation within a reasonable time, contact us before the Festival or Event. Failure to do so may limit our ability to assist you.

4.4 Refunds, Exchanges & Event Changes (Refund Policy) 

• All ticket sales made through the Site are final and non-refundable, unless we expressly state otherwise at the time of purchase or in writing for a specific Festival date or Event. 

• We do not offer refunds for changes in personal circumstances, scheduling conflicts, dissatisfaction with the Festival or Event, or similar reasons. 

• Events generally occur rain or shine. No refunds are issued due to weather unless we expressly state otherwise. 

• If the Festival or an Event is rescheduled, your existing ticket will usually remain valid for the new date. We will provide details in our communications regarding the change. 

• If the Festival or an Event is cancelled (and not postponed or rescheduled), we will notify you using the contact information you provided with information about any next steps. Unless we expressly state otherwise in writing in connection with a cancellation, all ticket sales remain non-refundable. 

• We are not responsible for travel, accommodation, or other incidental costs related to any cancelled, postponed, or rescheduled Festival or Event. By purchasing a ticket through the Site, you acknowledge and agree to this Refund Policy.

4.5 Event Entry, Behavior & Inclusivity 

4.5.1 Event Entry & Conduct 

• Admission may be subject to age restrictions (including legal drinking age requirements), ID checks, dress codes, venue rules, and local laws. 

• You agree to follow all venue policies, security procedures, and instructions from Festival or Event staff.

4.5.2 Behavior & Inclusivity Policy 

Our Festival and Events are guided by the aloha spirit—respect, kindness, and compassion for everyone. We are committed to an inclusive environment and welcome all guests, artists, vendors, partners, and staff, regardless of race, ethnicity, national origin, gender, gender identity or expression, sexual orientation, age, religion, disability, or background.

We do not tolerate discrimination, harassment, or disrespect of any kind, including:

1. Verbal, physical, or visual harassment or abuse;

2. Hate speech, slurs, or derogatory comments;

3. Unwanted or inappropriate physical contact; or

4. Threatening, abusive, or otherwise disruptive conduct.

All attendees must act with care, courtesy, and consideration for others. You are also expected to consume alcohol responsibly and to comply with all applicable alcohol-related laws and venue rules.

4.5.3 Revocation of Admission 

For the safety, comfort, and enjoyment of all participants, we may, in our sole discretion, refuse entry to or revoke admission from any individual without refund, including after entry, if that individual:

1. Violates these Terms, posted Festival or Event rules, or Event-specific guidelines;

2. Fails or refuses to follow lawful instructions from Festival or Event staff, security, or venue representatives; or

3. Engages in conduct that we determine to be unsafe, disruptive, illegal, offensive, harassing, discriminatory, excessively intoxicated, or otherwise inconsistent with the aloha spirit of the Festival or Event.

This applies whether the individual purchased a ticket or was otherwise granted access.

5 AFFILIATE / AMBASSADOR PROGRAM 

5.1 Enrollment & Approval 

• To join any affiliate/ambassador program we may offer (the “Program”), you must submit an application through our Site or designated platform. 

• We may approve or reject any application at our sole discretion.

5.2 Affiliate Links & Promotional Materials 

• Once approved, you will receive a unique link and/or code (“Affiliate Link(s)”) to promote our Festival and any related products or Events. 

• You may use Affiliate Links on your website, social channels, emails, or other permitted channels in accordance with these Terms and any Program guidelines. 

• You may use only promotional materials and brand assets that we provide or expressly approve, and you may not alter our logos or marks in a misleading or damaging way.

5.3 Tracking, Qualified Sales & Commissions 

• You earn referral fees/commissions only on “Qualified Sales,” which are valid, completed purchases tracked by our systems through your Affiliate Links within the applicable session or cookie window. 

• We pay commissions only on sales automatically tracked and reported by our systems. We do not pay commissions on: – Purchases not tracked or recorded due to user settings (e.g., cookies disabled), third-party interference, or technical issues outside our reasonable control; or – Manually reported or unverified referrals. 

• Details on commission rates, cookie duration, and eligibility will be provided in your affiliate dashboard or Program documentation.

5.4 Payment Terms 

• We set a minimum payout threshold (for example, $20 in accrued commissions). You will only be paid once your balance exceeds this threshold. 

• If your account never reaches the threshold, your commissions may remain unpaid and may be forfeited upon termination of your account or the Program. 

• Commissions are usually paid on a regular schedule (for example, monthly) and only on Qualified Sales that are not refunded, cancelled, or charged back. 

• We may delay or withhold payments to investigate suspected fraud or other violations.

5.5 Prohibited Affiliate Activities 

As an Affiliate/Ambassador, you agree not to: 

• Use your own Affiliate Link or code primarily to purchase tickets or products for yourself or close contacts solely to earn commissions; 

• Engage in fraudulent, illegal, misleading, or deceptive practices; 

• Misrepresent your relationship with Aloha Cancer Project or Aloha Tequila & Arts Festival (for example, claiming to be an employee or official partner without written permission); 

• Issue press releases on our behalf without written approval; 

• Use spam or unsolicited bulk email/SMS, or violate marketing or anti-spam laws (including CAN-SPAM, TCPA, and similar laws); 

• Use bots, scripts, click-farms, fake accounts, or other automated tools to generate clicks or sales; or 

• Infringe third-party rights (including copyrights, trademarks, privacy, or publicity), or use domains, social handles, or ads confusingly similar to our brand or trademarks without permission.

We may withhold or cancel commissions, suspend or terminate your account, and/or pursue legal remedies if we determine that your activity is fraudulent, abusive, or in violation of these Terms.

5.6 Program Changes & Termination 

• We may modify, suspend, or terminate the Program, or your participation in it, at any time, with or without notice. 

• Upon Program termination, we will pay any valid, non-fraudulent commissions above the minimum threshold then due, subject to chargebacks and refunds. 

• Upon termination of your participation, you must stop using Affiliate Links and remove all Aloha Tequila & Arts Festival and Aloha Cancer Project promotional materials from your channels.

6. INTELLECTUAL PROPERTY 

• All content and materials on the Site, including text, graphics, logos, images, video, audio, software, and design (collectively, “Content”), are owned by or licensed to Aloha Cancer Project and/or Aloha Tequila & Arts Festival and are protected by copyright, trademark, and other laws. 

• We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Content for personal, non-commercial use, and, for Affiliates/Ambassadors, solely to promote our Services in accordance with these Terms. 

• You may not copy, reproduce, modify, distribute, sell, license, or create derivative works from any Content without our prior written consent.

7. USER CONTENT & CONDUCT 

7.1 User Content License 

If you post or share any content related to our Festival, Events, or Services (such as reviews, comments, photos, or videos) (“User Content”), you: 

• Grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, display, and distribute such User Content in connection with our business and marketing, in any media now known or later developed; and 

• Represent and warrant that you own or control all rights to such User Content and that it does not infringe third-party rights or violate any law.

7.2 Prohibited Conduct You agree not to use the Site or Services to: 

• Violate any law, regulation, or third-party rights; 

• Harass, threaten, defame, or abuse any person; 

• Upload, transmit, or distribute malware, viruses, or harmful code; 

• Attempt to gain unauthorized access to any system, network, account, or data; or 

• Interfere with or disrupt the security or proper functioning of the Site or Services.

We may, but are not required to, monitor, remove, or restrict content or accounts that we reasonably believe violate these Terms or applicable law.

7.3 Event Photos & Recordings 

By attending the Festival or any related Event, you understand and agree that: 

• Photography and filming may occur. Our team and/or authorized partners may photograph, film, or otherwise record the Festival and Events, including attendees and performers, in still and video formats (“Event Content”). 

• License to use your image and likeness. To the fullest extent permitted by law, you grant Aloha Cancer Project (and its partners and assigns) a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, adapt, modify, publish, translate, distribute, display, and otherwise exploit your image, voice, likeness, and appearance as captured in any Event Content, in any media now known or later developed, for any lawful business purpose, including marketing, promotion, advertising, publicity, and archival use. 

• No expectation of compensation. You are not entitled to any compensation, credit, or notice for any use of Event Content featuring you, unless we expressly agree otherwise in writing. 

• No obligation to use. We are not obligated to use any Event Content, including content in which you appear. 

• Privacy and special requests. If you have specific privacy concerns (for example, you do not wish to appear in marketing materials), please contact us at [email protected] before or during the Festival or Event. While we cannot guarantee that you will never appear incidentally in Event Content (for example, in a crowd shot), we will make reasonable efforts, where feasible, to honor your request in our marketing materials going forward.

Where required by law, we will obtain any additional consent needed for certain uses of image, voice, or likeness.

8 SMS & EMAIL COMMUNICATIONS 

8.1 Consent to Communications 

When you provide your phone number or email address, you consent to receive: 

• Transactional communications related to your use of the Services (for example, order confirmations, tickets, Festival or Event reminders, security alerts, and account notices); and 

• Marketing communications (by SMS and/or email) if you opt in, including information about Festival dates, Events, promotions, and affiliate/ambassador opportunities.

8.2 Opting Out 

• You may opt out of marketing emails at any time by clicking the “unsubscribe” link.

• You may opt out of SMS marketing by replying STOP or following the opt-out instructions in our messages. 

• Even if you opt out of marketing, we may still send non-marketing (transactional or service) communications when necessary.

8.3 Data Use & Sharing 

• We use your contact information to deliver our communications and Services. 

• We do not sell or share your personal contact information with unaffiliated third parties for their own independent marketing. 

• We may share your data with service providers (such as email/SMS platforms, payment processors, or hosting providers) who process data on our behalf and are contractually required to protect it and use it only for our purposes.

Standard message and data rates may apply to SMS messages, depending on your mobile plan.

9. PRIVACY Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to our data practices as described in the Privacy Policy.

10. TECHNICAL ISSUES, ERRORS & SECURITY 

10.1 Availability & Technical Interruptions 

• We aim to keep the Site and Services available and functioning, but we do not guarantee uninterrupted or error-free operation. 

• We may temporarily suspend or limit access for maintenance, upgrades, or technical or security reasons.

10.2 Errors & Omissions 

• We make reasonable efforts to provide accurate, up-to-date information, but errors, inaccuracies, or omissions may occur (including in Festival or Event details, schedules, pricing, and availability). 

• We may correct such errors and, if necessary, cancel, modify, or adjust affected orders, with notice to you where reasonably possible.

10.3 Security & Hacking 

• We implement administrative, technical, and physical safeguards to protect our systems and your information. 

• No system is completely secure, and we cannot guarantee that unauthorized access, hacking, data loss, or other security breaches will never occur. 

• To the maximum extent permitted by law, we are not liable for loss or damage resulting from hacking, cyber-attacks, unauthorized access, or similar incidents beyond our reasonable control.

11. THIRD-PARTY SERVICES & LINKS 

• The Site may contain links to or integrations with third-party websites, apps, or services that we do not control. 

• We are not responsible for the content, policies, or practices of third-party sites or services. 

• Your use of third-party sites or services is at your own risk and subject to their terms and privacy policies.

12. DISCLAIMERS 

TO THE FULLEST EXTENT PERMITTED BY LAW: 

• THE SITE, SERVICES, FESTIVAL, EVENTS, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. 

• WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. 

• WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow certain disclaimers; in such cases, our liability will be limited to the maximum extent permitted by law.

13 LIMITATION OF LIABILITY 

TO THE FULLEST EXTENT PERMITTED BY LAW: 

• WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, OR YOUR ATTENDANCE (OR INABILITY TO ATTEND) THE FESTIVAL OR ANY EVENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE TICKETS OR SERVICES GIVING RISE TO THE CLAIM; OR (B) IF YOU ARE AN AFFILIATE/AMBASSADOR, THE TOTAL REFERRAL FEES PAID OR PAYABLE TO YOU DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Where applicable law does not allow certain limitations, our liability will be limited to the maximum extent permitted.

14. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Aloha Cancer Project, Aloha Tequila & Arts Festival, and their owners, officers, employees, contractors, affiliates, volunteers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: 

• Your use or misuse of the Site or Services; 

• Your attendance at the Festival or any Event, including your consumption of alcohol;

• Your breach of these Terms or any law; 

• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or 

• Any content or information you submit, post, or share through the Services.

15. TERMINATION 

• We may, in our sole discretion and without notice, suspend or terminate your access to the Site, your user account, or your participation in the Program for any reason, including violation of these Terms, suspected fraud, abuse, or misuse. 

• Upon termination, all rights granted to you under these Terms immediately cease, and you must stop using the Services and remove all Aloha Tequila & Arts Festival and Aloha Cancer Project materials from your channels. 

• We may withhold or forfeit unpaid affiliate commissions if we determine they were earned in violation of these Terms or through fraudulent or abusive conduct.

16. DISPUTE RESOLUTION & ARBITRATION To the extent permitted by law: 

• Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, the Festival, or any Event (collectively, “Disputes”) will be governed by the laws of the State of Hawaiʻi, without regard to conflict-of-laws principles. 

• All Disputes will be resolved by binding, confidential arbitration rather than in court, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Honolulu, Hawaiʻi, to protect intellectual property or confidential information. 

• Arbitration will be conducted by the American Arbitration Association (AAA) or a similar recognized body under its then-applicable rules. Unless required otherwise by law, the seat and place of arbitration will be Honolulu, Hawaiʻi. 

• The arbitrator’s decision will be final and binding, and judgment on the award may be entered exclusively in the state or federal courts in Honolulu, Hawaiʻi (or, if mandatory law requires, another competent court). 

• To the fullest extent permitted by law, no arbitration will be joined with another arbitration, and you agree not to participate in any class, collective, or representative proceeding against us.

If mandatory law in your jurisdiction prohibits arbitration or class-action waivers for certain Disputes, this section will apply only to the extent allowed, and where arbitration is not permitted, the exclusive jurisdiction and venue will be the state and federal courts in Honolulu, Hawaiʻi.

17. GOVERNING LAW These Terms and any Dispute are governed by the laws of the United States and, where applicable, the laws of the State of Hawaiʻi, without regard to conflict-of-law principles.

18. CHANGES TO THESE TERMS 

• We may update or modify these Terms at any time by posting the revised version on the Site and updating the “Last updated” date. • Unless stated otherwise, changes take effect upon posting. 

• Your continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms.

19. MISCELLANEOUS 

• Entire Agreement: These Terms, our Privacy Policy, and any additional terms presented at purchase or enrollment (such as Festival- or Event-specific terms or Program policies) form the entire agreement between you and Aloha Cancer Project regarding the Services. 

• Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect. 

• No Waiver: Our failure to enforce any right or provision does not waive that right or provision. 

• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, without notice.
